Notice of Merger
NOTICE OF BANK MERGER AND TOTAL ASSUMPTION OF DEPOSITS POSTED DECEMBER 17, 2021
This is to notify all First Capital Bank customers that effective after the close of business on December 17, 2021, First Capital Bank will be merged with and into Planters Bank and Trust Company. The separate legal existence of First Capital Bank will terminate at this time. As a result of the merger and by operation of law, Planters Bank and Trust Company will assume all of the deposits and other liabilities of First Capital, and all assets of First Capital Bank will be assigned to Planters Bank and Trust Company without any other transfer.
There will be a brief period of operational transition following the merger when the banks will continue to operate as two separate, distinct banks until they are converted onto one common informational platform (“Conversion Date”). Signage will be placed at First Capital Bank’s location with Planters Bank and First Capital logos. The conversion will be completed after the close of business on April 15, 2022. After December 17, 2021 all documentation provided to the customers of the former First Capital Bank or signed by customers to open or borrow money at the former First Capital Bank’s location will bear the name Planters Bank instead of First Capital Bank.
Until the Conversion Date, customers of First Capital Bank will continue to conduct business at the current First Capital Bank location only and customers of Planters Bank will conduct business at the current Planters Bank locations. After the Conversion Date, all customers will have banking services and privileges at all Planters Bank locations.
